Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, the ShortPath routing platform and API, and related services (the "Services") provided by ShortPath LLC ("ShortPath", "we", "us"). By creating an account or using the Services, you agree to these Terms.
1. The Services
ShortPath provides last-mile route optimization and related logistics software, available as an on-premise license, a cloud API, a complete delivery platform, and professional services. Features and plans are described on our site and may change over time.
2. Accounts
You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be authorized to bind your organization to these Terms.
3. Subscriptions, billing & renewals
- Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe.
- Some plans (e.g. the Routing API) are billed per depot; charges scale with the quantity you subscribe to.
- Subscriptions renew automatically at the end of each billing period unless cancelled beforehand.
- On each successful payment we issue or refresh your routing license, valid through the billing period you paid for (about a month on monthly plans, a year on yearly), available in your dashboard and, optionally, delivered to a callback URL you configure.
- Except where required by law, payments are non-refundable. You can cancel at any time; access continues until the end of the paid period.
- Taxes may apply and are your responsibility unless stated otherwise.
4. License grant
Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services and any issued license key for your internal business operations. You may not sublicense, resell, reverse-engineer, or circumvent the license, its validity period, or any usage limits.
5. Acceptable use
You agree not to:
- Use the Services unlawfully or to infringe others' rights;
- Disrupt, overload, or attempt to gain unauthorized access to the Services or related systems;
- Exceed, evade, or manipulate plan limits, license validity, or per-depot terms;
- Use the Services to build a competing product.
6. Customer data
You retain ownership of the data you submit (such as delivery stops and addresses). You grant us the rights needed to process it to provide the Services. You are responsible for having the right to submit that data and for complying with applicable privacy laws. Our handling of personal data is described in our Privacy Policy.
7. Intellectual property
The Services, software, and all related intellectual property are and remain the property of ShortPath and its licensors. These Terms grant no rights other than those expressly stated.
8. Third-party services
The Services rely on third parties (such as Stripe for payments). Your use of those services may be subject to their own terms, and we are not responsible for them.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that route results will be optimal for every situation.
10. Limitation of liability
To the maximum extent permitted by law, ShortPath will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim will not exceed the amounts you paid for the Services in the 12 months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold ShortPath harmless from claims arising out of your use of the Services, your data, or your breach of these Terms.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms or non-payment. Provisions that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws rules. The courts located in Wyoming will have exclusive jurisdiction, except where prohibited by law.
14. Changes
We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date; continued use after changes constitutes acceptance.
